Basically the gist of it was, they needed to form an actual corporation
for legal reasons - like they'd lost about $600K on some trade show from
a company that didnt pay them, and since DECUS wasnt a "recognized" legal
entity, they couldnt sue to get the money - so they reorganized into
encompass, which is a legal corporation or somesuch.
